Terms of Service
Effective
These terms are a binding agreement between you (or the company you represent, "Customer") and Geddes Ventures LLC, which operates Busybody ("we", "us"). They apply when you request a report, sign up, pay, or use getbusybody.com. If you're accepting for a company, you confirm you have authority to bind it. This is a business service. You confirm you're using it for business purposes and not as a consumer.
1. What you get for the fee
For each paid month, we deliver the following and nothing more:
- Monitoring of public online discussion in the category you name, summarized as a ranked list of buyer questions.
- Up to 4 written answer pages per week, published on a Busybody-hosted page on your subdomain or delivered by email for you to publish.
- A weekly report showing how often the AI tools we check named you and up to 5 competitors in answers to the tracked questions.
- If purchased, one agency brief per quarter.
These deliverables are the entire scope of the service. Anything else, including strategy calls, website changes, technical SEO, advertising management, custom reporting or meetings, is outside the scope and isn't owed unless we both agree to it in writing. We choose the methods, tools, AI providers, page formats and timing used to produce the deliverables, and we may change them at any time.
The free report is a one-time sample provided as is. It creates no obligation on either side.
2. Results are not part of the deal
You're paying for the deliverables in section 1, not for an outcome. AI tools, search engines and online platforms are controlled by other companies, change without notice, and answer differently from person to person and day to day. We don't promise, and nothing we say or show is a promise, that any AI tool or search engine will mention, recommend or rank you, that your visibility, traffic, leads or revenue will change, or that any change will last. Reports reflect what the tools returned when we checked and may not match what anyone else sees.
Examples, projections, case studies and anything said in emails, calls or sales conversations are illustrations only. They aren't part of these terms and you aren't relying on them in deciding to buy.
3. Fees and billing
- The plan is $1,500 per month, billed monthly in advance. The agency brief add-on is $750 per quarter, billed in advance.
- Plans start with a 3-month minimum term and then renew automatically month to month until cancelled. You commit to paying for the full minimum term.
- You can cancel renewal at any time by emailing [email protected]. Cancellation takes effect at the end of the current paid month or the end of the minimum term, whichever is later.
- All fees are non-refundable, including for partial months, unused deliverables, and periods where you chose not to publish what we delivered.
- Prices exclude taxes, which you pay. Late payments may result in the service being paused until paid.
- We may change prices with 30 days' written notice. New prices apply from your next billing period.
4. If we miss a deliverable
If we fail to deliver something listed in section 1 for a given week, tell us within 14 days. We'll either deliver it late or credit that week's share of the monthly fee against your next invoice. That is your only remedy for a missed or late deliverable.
5. Your responsibilities
- You give us accurate information about your company, products and competitors.
- You review what we draft. Anything that goes live under your name, whether we publish it or you do, is published at your direction and is your responsibility, including its accuracy and compliance with laws and regulations that apply to your industry.
- You make sure you have the right to any material you give us, and that your use of the deliverables follows the rules of any platform you publish them on.
- You're responsible for your own decisions about your marketing, budget and business. We don't provide legal, financial or regulatory advice.
6. Ownership
You own your company name, trademarks and anything you give us, and you let us use them to provide the service. Once a page we write for you is paid for in full, you own it and can keep using it after you cancel. We own the Busybody software, methods, report formats and everything we create that isn't a paid page delivered to you, and we may use anonymized, aggregated data to run and improve the service.
7. Acceptable use and suspension
Don't use Busybody to publish false or misleading claims, impersonate anyone, infringe anyone's rights or break any law. Don't disrupt, copy, reverse engineer or resell the service. We can pause or end service immediately if you do, or if you don't pay, and fees already paid aren't refunded.
8. Confidentiality
Each side keeps the other's non-public business information confidential and uses it only for this agreement.
9. Disclaimer of warranties
Except for the commitments in section 1, the service, the free report, all deliverables and getbusybody.com are provided "as is" and "as available." To the fullest extent the law allows, we disclaim every other warranty, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and that the service will be uninterrupted or error free. You use the service and the deliverables at your own risk.
10. Limitation of liability
To the fullest extent the law allows, we aren't liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, rankings, data or goodwill, even if we were told they were possible. Our total liability for all claims of any kind arising from or related to Busybody is limited to the fees you actually paid us in the one month before the event giving rise to the claim.
These limits are a basic part of the price. Without them we couldn't offer the service at this price.
11. Indemnity
You'll defend and hold us harmless from third-party claims, losses and reasonable legal fees arising from content published at your direction, material you supplied, your breach of these terms, or your violation of any law or anyone else's rights.
12. Disputes
Before filing anything, either side must email the other and try in good faith to resolve the dispute for 30 days. If it isn't resolved, it will be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before one arbitrator, in Sacramento, California. Either side may instead bring an individual claim in small claims court, or seek an injunction to protect its intellectual property or confidential information.
Claims may be brought only on an individual basis, never as a class, collective or representative action. Any claim must be brought within one year after it arises or it's permanently barred.
13. Ending the agreement
Either side can end the agreement for a material breach that isn't fixed within 15 days of written notice. Sections 2, 3 (for amounts owed), and 6 through 15 survive the end of the agreement.
14. Things outside our control
We aren't responsible for delays or failures caused by events outside our reasonable control, including outages or changes at AI providers, hosting providers, search engines or other platforms.
15. General
- These terms, plus any written order form we both sign, are the entire agreement and replace anything said or written before. If an order form conflicts with these terms, the order form controls for that order only.
- California law governs, without regard to conflict-of-law rules.
- If any part of these terms is unenforceable, it's limited to the minimum extent needed and the rest stays in effect.
- You can't assign this agreement without our written consent. We may assign it as part of a merger, acquisition or sale of the business.
- Our not enforcing a term isn't a waiver of it.
- We may update these terms by changing the date at the top. Customers get 30 days' notice by email before a material change applies to them.
